Pepper & Brothers, PLLC performs various transactional work for both existing and new clients within the state of Tennessee. Our transactional work is varied, and many of our existing clients are small businesses, in and around the Nashville and Middle Tennessee area, which have common business issues. Our transactional work includes the following:

We frequently prepare documentation to form new corporate entities for both new and existing clients. Business entity formation ranges from simple, single member limited liability companies or single shareholder corporations, to more complex multi-member or shareholder entities that need more sophisticated operating agreements or bylaws and member or shareholder buy-sell or restriction agreements.
We further act as counsel for business brokers, drafting all closing documents and acting as escrow agents in the purchase/sale of businesses. In this capacity, the firm has gained a unique and varied perspective of the issues and potential pitfalls involved in any business purchase or sale. This experience allows us to effectively represent either the purchaser or the seller of any business. Prior to and following the formation of Pepper & Brothers, PLLC, attorney Matthew Brothers has acted as counsel for business brokers, purchasers of businesses and sellers of businesses, in transactions ranging from $100,000.00 to $15,000,000.00. He has assisted in the purchase/sale of businesses for almost ten years and has closed or assisted with the sale of businesses ranging from small “mom and pop” restaurants or stores to larger manufacturing, entertainment and service related businesses.
We regularly draft and review contractual agreements for business clients. Our clients often need and request us to prepare or review various commercial and business contracts and agreements. The different types of agreements and contracts that are prepared and/or reviewed by this firm, whether or not related to a business acquisition, include: asset purchase agreements, stock purchase agreements, assignments and bills of sale, promissory notes, security agreements and related UCC financing statements, deeds of trust, consulting agreements, contractor agreements, employment agreements, agreements not to compete and/or to solicit, confidentiality agreements, lease agreements, subordination agreements and corporate resolutions.

Many clients of both Ross Pepper and Matthew Brothers first contacted us with one specific legal issue, but have remained ongoing clients for years, often seeking general corporate, commercial and employment related legal advice outside of the context of any lawsuit or dispute. While we frequently assist with “one-shot” transactions and issues, we often become ongoing advisors to various clients and businesses, assisting them with day-to-day legal issues that may arise.
